Yahoo!-Sugar Developer Terms and Conditions

These rules apply to the Yahoo!-Sugar Developer Contest, a skill-based contest run by SugarCRM Inc. ("SugarCRM"). This contest starts on April 1st, 2007 at 12:00AM PDT and will continue through and including April 30th, 2007 at 11:59PM PDT. By entering this contest, you agree to comply fully and unconditionally with these rules ("Rules"). Void where prohibited. Subject to federal, state and local laws.

Article 1. General
This contest is a skill-based contest; which means that chance plays no part in determining the winner(s). Participants are invited to make their entries available to SugarCRM which will then be judged by votes from our internal judging panel.

The contest is open to individuals who are legal residents of the United States only. Void in Puerto Rico. Individuals must be 18 or older to enter. Employees of SugarCRM, its affiliates, advertising and promotion agencies, and the immediate families of each may not enter.

By entering the contest, you acknowledge and guarantee that you are 18 years of age or older and that you have the capacity to understand, agree to and comply with these Rules.

SugarCRM reserves the right to disqualify you if it has reasonable grounds to believe that you have breached these Rules or have acted contrary to any relevant law or regulation.

By entering this contest, you give SugarCRM permission to use your name, likeness, biographical information and statements concerning this contest or SugarCRM for advertising and promotional purposes without compensation, as provided by law, and to use the information provided by you to contact you regarding the contest. SugarCRM's privacy policy as published on our website will apply to our use of your personal information.

You are allowed to submit as many entries as you like within this contest.

No responsibility is assumed for information not received from participants, inaccurate information or corrupted files, whether caused by any of the equipment, computers, telephone, cable, network, electronic or Internet hardware or software malfunctions, failures, connections, availability or garbled or jumbled transmissions, service provider/Internet/web site/use net accessibility or availability, air or ground traffic congestion, or unauthorized human intervention or by any human, mechanical or computer error or failure which may occur in the processing or storing of information.

In the event of any dispute regarding this contest, these Rules, the decision with regards to the winner(s) and all other matters relating to this contest, the decision of SugarCRM will be final and no correspondence or discussion shall be entered into.

Article 2. How to enter
2.1 In order to enter into this contest, you must fill out the form located here. You must also have your application hosted on SugarForge.org as a project and your application must utilize the SugarCRM's Module Loader.

2.2 All entries must be received by SugarCRM no later than 11:59PM PDT on April 30, 2007. SugarCRM is not responsible for late, lost, illegible, incomplete, stolen or misdirected entries. Entries that are received after this term will be disqualified.

Article 3. Prizes
3.1 All valid entries will be showcased on the SugarCRM website. They will be judged by votes from our internal judging panel. Three cash prizes will be awarded: one for each category: "Most dashing Sugar Dashlet" ($1000 prize), "Most magnificent Sugar Module" ($1000 prize), and "Most creative use of YUI within Sugar" ($1000 prize).

3.2 Winners of this contest will be contacted via email, post and/or telephone within seven days of the end of the contest and will be requested to execute an Affidavit and Publicity/Liability Release within ten days of the date the notice is sent or the prize will be forfeited. Return of any prize notification as undeliverable or failure to reply within ten days after the notification has been sent may result in disqualification and selection of an alternate winner.

For as long as supplies last, each participant who registers and enters a code submission will receive a t-shirt. Only one t-shirt per participant, no matter the number of entries.

3.4 SugarCRM reserves the right to substitute prizes of equal or greater value at any time.

3.5 By accepting a prize, a winner agrees that SugarCRM and its affiliates shall not be liable for, and be held harmless by winner against any liability for any damage, injury or loss to person or property due in whole part, directly or indirectly, to acceptance, possession, use or misuse of a prize, participation in any prize-related activity or participation in this contest.

Article 4. Judging and prize awarding
4.1 All valid entries for this contest will be showcased on the SugarCRM website. There are three prize categories: "most dashing Sugar Dashlet", "most magnificent Sugar Module", and "Most creative use of YUI within Sugar". Votes from the SugarCRM's internal judging panel (consisting of three members from SugarCRM's Engineering and Online teams) will be awarded according to the following equally-weighted criteria: ease of use (25%); innovation in the use of SugarCRM services and features (25%); accessibility to new SugarCRM users (25%), and general utility to existing users and developers (25%). For each category, the entry with the highest number of points will win the prize for that category. In the event of a tie the judges will select the participant with the highest score in the "innovation in the use of SugarCRM services and features" rating.

Article 5. Intellectual property rights
5.1 Nothing on the SugarCRM website or participant's use of the services or products related hereto shall be construed as conferring any license or other rights under the intellectual property rights or other proprietary rights of SugarCRM, its subsidiaries, affiliates, agents and/or directors. SugarCRM and/or its agents shall be licensed by participants to evaluate all contest related submissions for the purpose of the contest judging. The software and programming code and media relating to the contest and contest related promotion is protected by the laws of copyright, trademark, patent, unfair contest and other proprietary laws. All submissions must be the original work of the participant; must not infringe third-party rights; and must be suitable for publication (e.g., may not be obscene or indecent) and promotion. All entries become the property of SugarCRM and will not be returned. SugarCRM shall have the right to copy-edit, broadcast, publish, use, in whole or in part, any submission in any manner without further compensation (except where prohibited bylaw).

Article 6. Taxes
6.1 Participation and receipt of prizes may have tax consequences. All taxes, fees, and surcharges on the prize won are the sole responsibility of the winner.

Article 7. Warranty and indemnification
7.1 You hereby guarantee that your entry is original and does not contain anything which infringes intellectual property, privacy or any other rights of any party.

7.2 You agree that your entry - including, but not limited to text, designs, drawings, concepts, will not be treated as confidential or proprietary.

7.3 You hereby agree to indemnify or hold harmless SugarCRM, its subsidiaries, affiliates, agents and directors against any and all claims of third parties based on the assertion that your entry infringes upon the rights of a third party and/or related to any other matter in connection with your participation in this contest.

Article 8. Miscellaneous
8.1 If one provision of these Rules is determined to be (partly) invalid or unenforceable, then such invalidity or unenforceability shall not have any effect on any other provision of these Rules, all of which shall remain in full force and effect.

8.2 These Rules shall be governed by and construed in accordance with the laws of California. Any disputes arising out of or relating to the Agreement will be exclusively brought before the competent court in Santa Clara County, California.

8.3 For a winner's list send a self-addressed, stamped envelope to SugarCRM. Requests must be received by May 31, 2007.
